1. Who we are, and who sells the software
Perkins is a desktop writing application ("the Software") published by Orsorum ("we," "us"). Purchases are processed by Paddle, our merchant of record. When you buy a license, your contract of sale, including payment, invoicing, and applicable taxes, is with Paddle, under Paddle's own Buyer Terms. These Terms govern your use of the Software itself.
2. Your license
When you purchase Perkins, we grant you a personal, non-exclusive, non-transferable license to install and use the Software on machines you own or control, for any purpose, for as long as you like. This is a one-time purchase, not a subscription. The license covers the major version purchased, including its updates; future major versions may be offered as separate upgrades.
3. The free trial
Perkins includes a free trial measured in days of actual use (days on which you launch the application), not calendar days. During the trial every feature is available. When the trial ends, certain features lock until a license is activated. But you can always open, read, edit, save, export, download, snapshot, and back up your projects, in every license state, permanently. Your writing is never held hostage; that guarantee is built into the Software's design.
4. Your writing is yours
We claim no rights of any kind over anything you write, plan, or store in Perkins. Your manuscripts, notes, and project files are yours, stored as plain files on your own machine. The Software is designed so that its AI features coach and propose but never author your prose; every word of your manuscript is written by you.
5. AI features and your own API keys
Perkins's AI editorial features operate using API keys you supply for third-party AI providers (or a local model you run yourself). Your use of those providers is governed by your own agreements with them, and their usage fees are billed to you by them directly. We are not a party to those agreements, do not process those payments, and are not responsible for those providers' availability, output, or policies. The Software's built-in cost meter is an estimate for your convenience, not a bill.
6. What you may not do
- Redistribute, resell, rent, or sublicense the Software or your license key.
- Circumvent the license or trial mechanisms.
- Reverse engineer or decompile the Software, except to the extent applicable law permits it notwithstanding this limitation.
- Use the Software in violation of applicable law.
7. Updates
The Software can check for and install signed updates with your consent. We may add, change, or retire features over time. We will never release an update that removes your access to your own project files.
8. Warranty disclaimer
The Software is provided "as is," without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted or error-free, or that AI-provider services will be available. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
9. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, data, or goodwill, arising from your use of the Software. Our total liability for any claim relating to the Software is limited to the amount you paid for your license. Nothing in these Terms limits liability that cannot be limited by law. Back up your work: Perkins stores your files locally and offers snapshots, backups, and version control, but you are responsible for maintaining backups of your own data.
10. Copyright of your work
Because Perkins's AI never writes your prose, your manuscript's expression is your own human authorship. We make no legal guarantee about the copyright status of any particular work, since that depends on facts and law outside our control, but the Software is deliberately designed so that the words on your pages are yours.
11. Termination
These Terms remain in effect while you use the Software. We may terminate your license if you materially breach these Terms. Upon any termination, the guarantee in Section 3 stands: you retain full access to your own project files, and the Software's never-locked capabilities continue to function so you can retrieve and export your work.
12. Changes to these Terms
We may update these Terms for new features or legal requirements. Material changes will be posted on this page with a new effective date. Continued use of the Software after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Courts located in New York will have exclusive jurisdiction, except where the law of your country of residence grants you mandatory consumer protections and venue.
